This Contract is made the Eighteenth day of December 2024
Between:
(1)
Network Rail Infrastructure Limited, a company registered in England under number 2904587
having its registered office at Waterl oo General Office, London, SE1 8SW ("Netw ork Rail");
and
(2)
GB Railfreight Limited, a company registered in England un der number 03707899 having its
registered office at 5th Floor, 62 64 Cornhill, London , EC3V 3NH (the "Train Operator").
Background
(A)
Network Rail is the owner of the Network; and
(B)
The Office of Rail and Road has issued a general appr oval that permits Network Rail to grant
to the Train Operator permission to use the Network on the terms and conditions of this contract.
It is agreed as follows:
1.
Interpretation
1.1
Definitions
In this contract unless the context otherwise requires:
"Access Agreement" has the meaning ascribed to it in Part A of the Network Code;
"access charges review" has the meaning ascribed to it by Schedule 4A to the Act;
"Access Dispute Resolution Rules" and "ADRR" have the meaning ascribed to them in
Part A of the Network Code;
"Act" means the Railways Act 1993;
"Affected Party" has the meaning ascribed to it in C lause 17.1;
"Affiliate" means, in relation to any company:
(a)
a company which is either a holding company or a subsidiary of such company; or
(b)
a company which is a subsidiary of a holding co mpany of which such company is also
a subsidiary,
and for these purposes "holding company" and "subsidi ary" have the meanings ascribed to them
in section 1159 of the Companies Act 2006;
"Ancillary Movements" has the meaning ascribed to it in Part D of the Network Code;
"Applicable Engineering Access Statement" means the Engineering Access Statement in
force in respect of the Routes on the Effectiv e Date as from time to time amended or r eplaced
under Part D of the Network Code;
"Applicable Timetable Planning Rules" means the Timetable Planning Rules in force in
respect of the Routes on the Effective Date as fr om time to time amended or replaced under
Part D of the Network Code;
"Applicable Timetable" has the meaning ascribed to it in Schedule 8;
