Marlowe Acquires HR and H and S Compliance Consultancy HR Solutions.

UK-based safety and regulatory compliance software company Marlowe plc (LSE: MRL) has acquired Business HR Solutions (Consultancy) Ltd. and Business Human Resources Solutions Ltd, a HR and H and S compliance consultancy, for an enterprise value of GBP 6.1m (USD 7.51m), the company said.

Headquartered in Kettering and established in 2001, HR Solutions provides retained HR and H and S consulting to approximately 750 customers, helping to keep them compliant with employment law and health and safety regulations.

HR Solutions will integrate into Marlowe's Worknest brand, offering attractive synergies and deepening Marlowe's HR and H and S consultancy proposition.

In the year to 31 March 2022, HR Solutions generated revenues of GBP 3.1m and EBITDA of GBP 0.7m.

Net assets as at 31 March 2022 were GBP 0.8m. The acquisition consideration will be settled in cash and funded from Marlowe's existing cash resources.

Marlowe is in business-critical services and software which assure safety and regulatory compliance.
