Hot potato: this month's dilemma.

As a CIMA Fellow, I've recently become a NED for a retail business. I've attended three board meetings so far. Before the first I received papers 10 days in advance, but wasn't sure whether they contained all the data I needed. Since then I have received the papers a day or two before meetings--also incomplete. The CEO is very dominant and defensive--and my fellow board members seem reluctant to challenge him. My personal calls to him have not been returned. I raised this with the FD, who informed me that the CEO has specifically requested sign-off on what information to include in board reports. She seems clearly under duress. I am struggling to get backup from the wider board after I diplomatically raised the issue at the last meeting.

Two fundamental principles are compromised here -objectivity and professional competence and due care--arising from the lack of timely and possibly inadequate information, as well as the perceived threats presented by the CEO's behaviour.
