This Contract is made the day of December 2024
Between:
(1) Network Rail Infrastructure Limited, a company registered in England under number
2904587 having its registered o ffice at Waterloo General Office, London, SE1 8SW ("Network
Rail"); and
(2) Vintage Trains Limited, a company registered in England under number 104367 85 having its
registered office at 670 Warwick Roa d, Tyseley, Birmingham, B11 2HL (the "Train Operator").
Background
(A) Network Rail is the owner of the N etwork; and
(B) The Office of Rail and Road has issued a genera l approval that permits Network Rail to grant
to the Train Operator permis sion to use the Network on the terms and condit ions of this contract.
It is agreed as follows:
1. Interpretation
1.1 Definitions
In this contract unless the context ot herwise requires:
"Access Agreement" has the meanin g ascribed to it in Part A of the Networ k Code;
"access charges review" has the me aning ascribed to it by Schedule 4A t o the Act;
"Access Dispute Resolution Rules" and "ADRR" have the meaning ascribed to t hem in
Part A of the Network Code;
"Act" means the Railways Act 1993;
"Affected Party" has the meaning ascribed t o it in Clause 17.1;
"Affiliate" means, in relation to any comp any:
(a) a company which is either a hold ing company or a subsidiary of such c ompany; or
(b) a company which is a subsi diary of a holding company of which such company is also
a subsidiary,
and for these purposes "holding company" and "s ubsidiary" have the meanings ascribed to them
in section 1159 of the Companies Act 2006;
"Ancillary Movements" has the meani ng ascribed to it in Part D of the N etwork Code;
"Applicable Engineering Access Statement" means the Engi neering Access Statement in
force in respect of the Routes on the Effectiv e Date as from time to time amended or replaced
under Part D of the Network Code;
"Applicable Timetable Planning Rules" means the Timetable Planning Rules in force in
respect of the Routes on the Effective Date as from t ime to time amended or replaced under
Part D of the Network Code;
"Applicable Timetable" has the meaning ascribed to it in Schedule 8;
