to

loss

Relevant Agreement,

by
the
other

recover
damages

otherwise obtain reimbt.nement
or
restiution
in
respect
of
any
claim
under
a
Relevant Agreement
if
and
to
the
extent
that
the
loss in respect
of
which
it is seeking to recover such
damages, abatement, reimbursement
or
restitution has been recovered
under
arry
other agreement
or
by
operation
of
law
.

The Station
Faci
lity Owner's liability
under
any
Relevant
Ageement
(including
the
indemnity
under
Condition L9.2)

Force Majeure
l11.1 "Force Majeure" (or
"F
orce
Majeure Event") shall
be
deemed to occu-

event

circumstance

any
combination

reasonable control
of
any
party to a Relevant
Agreement
which
is
either unforeseeable
or

not
have

that

a statutory function

tempest, fire, flood,

of
God

any
industrial action

employees

ORR

exceptional severity
or
of
an exceptional

of

or leaves on

railway assets

any
breach
of
a contractual obligation

to
the party
daiming
the benefit
of
this Condition

l11.2
No
party
to
a Relevant Agreement shall
be
responsible
for
any
failure to fuffil its
obligations
under
such
agreement if,
and
to
the
extent that, such failure shall
be
caused by,
or
directly or indirectly
by
reason
of
, Force Majeure, which makes it impossible
or
impracticable for
that
party to comply with such
obligations.
l11.3
A party affected
by
Force Majeure shall use all reasonable endeavours
to
minimise
the
effects
of
that
Force Majeure
upon
the
performance
of
its obligations
under
the Relevant Agreement.

L 11.4 As soon
as
reasonably practicable
after
commencement
of
the
Force Majeure, the party affected
by
the
Force Majeta'e shall notify

other party of the occurrence of
the
Force Ma;eure,

commencement
of
the
Force Majeure
and
the effects of
the
Force
MajeLWe
on
its ability to perform
its
obligations under the ReJevant Agreement.
