TfL considers that the performance regime and charging structure currently proposed by HAL in
its template station access documentation is inadequate to accommodate the specific
circumstances of the Heathrow stations.
As HAL's regulatory structure is quite different to the regulatory structure within which Network
Rail operates, the station access documentation must ensure that, in the absence of a licence,
HAL is held to certain additional obligations to ensure that the Heathrow rail infrastructure is
operated safely and effectively and that there is fairness and transparency in the proposed
charging arrangements.
Given that each of the Central Terminals Area, Terminal 4 and Terminal 5 stations are
independent facilities, each station should be independently contracted and charged for (although
we note that the Crossrail services will only call at Central Terminals Area and Terminal 4
stations, necessitating only two station access agreements). The level of service required for each
station will impact upon the charges at that station, although we note that our proposal is only to
be responsible for directly incurred costs. Please see Part 6 of these Station Access Conditions
for further details of TfL's proposed charging principles.
As HAL is exempt from the requirement to hold a station licence, HAL must be able to assure its
Users that it is providing services to the standard expected of a reasonable prudent infrastructure
manager. To demonstrate this, TfL requires the following:
these Station Access Conditions must specify certain additional positive asset
stewardship obligations that HAL must adhere to in its role as the "station facility owner";
and
HAL must also be subject to a specified performance regime that measures HAL's
performance of its station stewardship obligations.
The Change process should also provide a robust, workable process for improving stations that
balances the interests of Users and the infrastructure manager. The model clauses in the
Independent Station Access Conditions 2013 carefully strike this balance.
On the basis of the above, TfL has prepared Station Access Conditions, based on the Network
Rail Independent Station Access Conditions 2013, that propose various amendments that TfL
would expect to see in the context of the Heathrow stations.

In a number of meetings with TfL, HAL indicated that it intends to sub-contract a significant
majority of its obligations under these Station Access Conditions to HEOC. Whilst TfL
acknowledges that HAL is entitled to sub-contract its obligations under these Station Access
Conditions, it has material concerns as to how this structure will work in practice. Please see
TfL's comments regarding sub-contracting at Footnote 1 of the Station Access Agreement, which
describe TfL's concerns in more detail and which describe the practical arrangements that will
need to be put in place.
