The European Private Company?
Maastricht, 7-8April 1995
On Friday 7 April and Saturday 8 April 1995 a conference will be held on 'The European
Private Company', organized by METRO, the Institute for transnational legal research of
the University of Limburg.
The law concerning private companies varies considerably among the ECMember States.
For example in some EC countries private companies may not have more than a certain
number
of
shareholders, while in other EC countries there is no limit at all. In some
countries private companies are obliged to restrict the transfer of shares (the Netherlands,
France, Belgium), while in other countries this is allowed but not mandatory (Germany,
UK). In some EC countries only natural persons may be directors of companies (Germany,
Belgium, France), while in other countries they may be legal persons (Netherlands,
England). In some countries a natural person may only be the single shareholder of one
private company (Belgium, France), while in other countries he might incorporate activities
in different companies, all having the same shareholder.
This diversity in the field is reflected in the way the laws in different countries are
modelled. In some countries the law governing the private company can be
read
quite
separately from the law applicable to the public company (France, Germany), while in other
countries the private company is, essentially, governed by the rules on the public company,
be it that a private company is granted exemptions. Of course this evokes the question
whether it might be necessary or useful to further EC harmonization in this field of the law.
All this, and much more, will be discussed on the basis of national reports from eight EC
countries, which are provided by Mme. Dr. Sylvie Hebert (France), Dr. Luigi Bianchi
(Italy), Mr. Simon Goulding (UK), Dr. Heribert Hirte (Germany), Dr. Harm Jan de Kluiver
(Netherlands), Dr. Fernando Martinez Sanz (Spain), Dr. Nikolaos Tellis (Greece) and Mr.
Jan Wouters (Belgium). The national reports will be included in a book (included in the
conference price) which will be distributed to all the participants before the opening of the
conference.
During the conference, five 'keynote speakers' of undisputed international reputation will
comment on a number
of
core issues, after which workshops will be held in which all
participants are invited to enter into discussions with the national reporters and the keynote
speakers. The principal conference language is English. In the highly enjoyable atmosphere
of the old and scenic centre of Maastricht, which is also a synonym for a European flavour,
we expect a very interesting debate in which we invite you to participate.
