Change Healthcare Wins Stockholder Nod for the Combination with OptumInsight, Part of UnitedHealth Group.

Shareholders of US-based healthcare technology company Change Healthcare Inc. (NASDAQ: CHNG) have voted to approve the company's pending combination with US-based diversified health services firm OptumInsight, part of US-based UnitedHealth Group, the company said.

Of the approximately 222m shares voted at yesterday's special meeting of stockholders, 99.9% voted in favour of the adoption of the merger agreement.

In January, OptumInsight agreed to combine with Change Healthcare (NASDAQ: CHNG) to advance information and technology enabled health care platform.

The agreement calls for the acquisition of Change Healthcare's common stock for USD 25.75 per share in cash and is expected to close in the second half of 2021.

Private equity funds affiliated with The Blackstone Group, which own approximately 20% of the common stock of Change Healthcare, have agreed to vote the shares they control in favor of the combination.
