Revitalist Acquires Florida Ketamine Clinic.

US-based mental health and pain condition management treatment provider Revitalist Lifestyle and Wellness Ltd. (CSE: CALM) (OTC: RVLWF) (FSE: 4DO) has executed an asset purchase agreement dated January 11, 2022, to acquire a Ketamine clinic located in Jacksonville, Florida, the company said.

Revitalist had previously announced the acquisition non-binding letter of intent on October 27, 2021.

This acquisition represents the ninth clinic for the company and is expected to commence under the Revitalist brand by February 1, 2022.

The Jacksonville clinic was formed in 2017 and continues to be managed by Dr. Nicholas Kalynych who has over 30 years of experience in health care.

Under the terms of the agreement the consideration for the acquisition is USD 100,000.

The consideration payable is USD 60,000 in cash and USD 40,000 in common shares.

The share consideration will be issued at the greater of USD 0.50/share and the 20-day volume weighted average share price preceding the issue date and will be issued 50% in 12 months and 50% in 24 months following...
